Terms & Conditions of Sale and Support Services

These Terms & Conditions apply to the supply of products and related support services by Rock Roofing Ltd, trading as Rock Materials or Rock Materials Malaysia where applicable.

In these Terms:

  • “Rock Materials”, “we”, “us” or “our” means Rock Roofing Ltd and any relevant trading name used by it.

  • “Customer”, “you” or “your” means the trade customer purchasing products or services from us.

  • “Products” means Renolit roofing membranes, accessories and related goods supplied by us.

  • “Support Services” means any related support we provide, including training, inspections, CAD detailing, design support, technical support, installation monitoring and warranty sign-off support.

  • “Project” means the construction, roofing or waterproofing project for which the Products or Support Services are supplied.

1. Application of these Terms

These Terms apply to all quotations, orders, product sales and support services supplied by Rock Materials unless otherwise agreed in writing.

By placing an order, accepting a quotation, paying a deposit, issuing a purchase order or accepting delivery of Products, you agree to these Terms.

Any customer terms, purchase order terms or other conditions shall not apply unless expressly accepted by us in writing.

2. Business-to-business supply

We supply Products to roofing subcontractors and trade customers only.

We may provide technical, design, specification, inspection, installation monitoring or warranty sign-off support to main contractors, architects, specifiers, consultants, developers or clients as part of the wider product support process, but our product sales are made to subcontractors unless expressly agreed otherwise in writing.

Where support is provided to main contractors, architects or specifiers, that support is provided in connection with the relevant Product sale and does not create a separate supply contract unless expressly agreed in writing.

3. Quotations and orders

All quotations are subject to availability, confirmation of project requirements and written acceptance by us.

A quotation does not become binding until we confirm acceptance of the order in writing.

We may withdraw or revise a quotation at any time before order acceptance.

Unless stated otherwise, quotations are based on the information provided by the Customer. If project drawings, specifications, roof areas, quantities, site conditions, delivery requirements or technical requirements change, we may revise the quotation.

4. Pricing

Prices are as stated in our quotation or written order confirmation.

Unless stated otherwise, prices exclude taxes, duties, delivery charges, storage charges, special handling costs and other project-specific costs.

Project-specific pricing may include Products, accessories, delivery requirements and agreed support services.

5. Payment terms

Unless otherwise agreed in writing:

  • a 50% deposit is payable on order placement; and

  • the remaining balance is payable 30 days following receipt of materials.

We may require cleared funds before releasing Products, arranging delivery, commencing support services or issuing warranty-related documentation.

If payment is late, we may suspend further deliveries, support services, inspections, sign-off support or documentation until payment is received.

6. Delivery

We can arrange delivery nationwide within Malaysia, subject to availability, logistics and project requirements.

Delivery dates are estimates only unless expressly confirmed as fixed in writing.

We are not liable for delay caused by manufacturer availability, shipping, customs, third-party carriers, site access restrictions, force majeure or circumstances outside our reasonable control.

The Customer must ensure that the delivery location is accessible, safe and suitable for unloading.

Any failed delivery, waiting time, redelivery, storage, special transport or handling costs may be charged to the Customer.

7. Risk and title

Risk in the Products passes to the Customer on delivery to the agreed delivery location, unless otherwise agreed in writing.

Title to the Products remains with Rock Materials until all sums due in respect of the Products and any related services have been paid in full.

Until title passes, the Customer must store the Products safely, separately where practical, and protect them from damage, misuse, contamination, theft, weather or deterioration.

8. Storage and handling

The Customer is responsible for proper storage, protection and handling of Products after delivery.

Products must be stored and handled in accordance with Renolit guidance, our instructions and good construction practice.

We are not responsible for damage, deterioration, contamination, deformation or loss caused by incorrect storage, handling, site conditions, weather exposure, misuse, theft, third-party damage or failure to follow guidance.

9. Returns and cancellations

Products may only be returned with our prior written approval.

Special-order, imported, cut, damaged, used, contaminated, weathered, opened or non-resalable Products may not be returnable.

Where we approve a return, the following conditions apply unless otherwise agreed in writing:

  • the Customer is responsible for return transport and handling costs;

  • a 20% return fee applies;

  • storage charges may apply;

  • refund or credit will only be issued once the returned Products and accessories have been reused or resold on another project and payment for that project has been received by us.

No refund or credit will be due until those conditions have been satisfied.

10. Training

Where training is provided, it is intended to support competent installation of the relevant Renolit system.

Training does not make us responsible for the installer’s workmanship, site supervision, quality control, health and safety, compliance or final installation.

The Customer and installer remain responsible for ensuring that all operatives are competent, supervised and working in accordance with Renolit technical documents, project requirements and good roofing practice.

11. CAD detailing and design support

We may provide CAD drawings, project-specific detailing, marked-up plans, technical submissions or design support where agreed.

Unless expressly agreed in writing, this support is provided as technical guidance only and does not transfer design responsibility to Rock Materials.

The Customer, architect, engineer, specifier, main contractor and other project professionals remain responsible for reviewing, approving, coordinating and verifying all drawings, details, specifications, calculations, interfaces, dimensions, site conditions and statutory requirements.

We are not responsible for errors, omissions, clashes, design failures or installation issues arising from incomplete, inaccurate or outdated information supplied to us.

12. Renolit standard details and technical information

Renolit standard details and technical documents provide important guidance, but they must be correctly interpreted and applied to the actual project conditions.

Rock Materials is not responsible for any incorrect interpretation, use or application of Renolit standard details, datasheets, brochures, certificates, installation guidance or other technical information by the Customer or any third party.

It is the responsibility of the Customer, installer, designer, contractor and project team to assess Renolit technical documents themselves and ensure they are correctly interpreted and applied to the specific project.

13. Inspections and installation monitoring

We may provide periodic inspections, site visits or installation monitoring as part of the Product support process.

Any inspection or monitoring is limited to periodic visual checks and does not constitute continuous supervision, clerk of works services, full quality control, installation certification, design approval or acceptance of responsibility for the works.

The roofing subcontractor remains responsible for workmanship, installation quality, sequencing, health and safety, protection of works, compliance with Renolit guidance and correction of defects.

The main contractor remains responsible for overall site management, coordination, quality control, programme, trade interfaces, protection of completed works and handover obligations.

Architects, specifiers, engineers and other designers remain responsible for their own design duties and approvals.

14. Warranty support

Product warranties are provided by Renolit, not Rock Materials, unless expressly stated otherwise in writing.

Any warranty indication, warranty period or warranty document is subject to Renolit’s terms, project eligibility, correct system selection, correct installation, required inspections, documentation, sign-off and any other Renolit requirements.

Warranty options may be available up to 20 years, but this depends on the specific system, project requirements, installation, documentation and final approval.

Any warranty discussed before completion is provisional only and subject to sign-off.

Rock Materials may support the warranty process by assisting with documentation, inspections, completion records and communication, but we do not guarantee that Renolit will issue a warranty.

15. Customer responsibilities

The Customer is responsible for:

  • providing accurate drawings, specifications, quantities, roof areas and project information;

  • checking all quotations, quantities, drawings and details before ordering;

  • ensuring the selected system is suitable for the project;

  • appointing competent installers;

  • ensuring correct installation and site supervision;

  • protecting Products and completed works;

  • coordinating other trades and interfaces;

  • complying with Renolit technical guidance and project requirements;

  • obtaining all necessary approvals, permits and professional advice;

  • maintaining the roof after handover.

16. Defects, shortages and damage

The Customer must inspect Products on delivery and notify us in writing of any visible damage, shortage or incorrect delivery as soon as reasonably possible.

If the Customer fails to notify us promptly, the Products may be treated as accepted.

We are not responsible for defects or damage caused by incorrect storage, handling, installation, misuse, third-party damage, site conditions, follow-on trades, lack of maintenance or failure to follow Renolit guidance.

17. Maintenance

Single ply membrane roofs require inspection and maintenance.

The Customer, building owner or responsible party must follow Renolit maintenance guidance, project handover information and good roof maintenance practice.

Failure to inspect, maintain, clean, protect or repair the roof may affect performance and warranty eligibility.

18. Limitation of liability

To the maximum extent permitted by law, Rock Materials’ total aggregate liability arising out of or in connection with any order, Product, Support Service, quotation, delivery, inspection, drawing, technical support, installation monitoring or warranty support shall be limited to the amount paid by the Customer to Rock Materials for the specific Products or Support Services giving rise to the claim.

To the maximum extent permitted by law, Rock Materials shall not be liable for:

  • loss of profit;

  • loss of business;

  • loss of opportunity;

  • loss of contract;

  • delay damages;

  • liquidated damages;

  • loss of goodwill;

  • loss of use;

  • business interruption;

  • consequential or indirect loss;

  • costs of substitute products or services;

  • third-party claims;

  • damage caused by installers, contractors, other trades or site conditions;

  • design errors by others;

  • incorrect interpretation of Renolit technical documents by others;

  • failure by Renolit to issue a warranty where requirements are not met.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnity

The Customer shall indemnify Rock Materials against losses, claims, costs, damages and expenses arising from:

  • inaccurate or incomplete project information supplied by the Customer;

  • incorrect installation;

  • misuse or misapplication of Products;

  • failure to follow Renolit guidance;

  • actions or omissions of the Customer, installer, main contractor, designer, owner or other third parties;

  • unauthorised changes to drawings, specifications, details or installation methods;

  • claims made by third parties arising from matters outside Rock Materials’ control.

20. Force majeure

We are not liable for delay or failure to perform caused by circumstances beyond our reasonable control, including manufacturer delay, shipping delay, customs delay, transport disruption, shortage of materials, labour disruption, fire, flood, severe weather, pandemic, government action, war, civil unrest, power failure or other events outside our control.

21. Suspension and termination

We may suspend delivery, support services, inspections, documentation or warranty support if:

  • payment is overdue;

  • the Customer breaches these Terms;

  • project information is incomplete;

  • site conditions are unsafe or unsuitable;

  • installation is not being carried out in accordance with Renolit guidance;

  • required training, inspection or documentation requirements are not met.

22. Data protection

Where we process personal data, we will do so in accordance with our Privacy Policy and applicable data protection requirements, including where relevant the Malaysian Personal Data Protection Act 2010. The Personal Data Protection Department describes the PDPA as applying generally to organisations processing personal data in commercial transactions in Malaysia.

23. Governing law and jurisdiction

These Terms and any contract between the parties shall be governed by the laws of Malaysia.

The courts of Malaysia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, any order, Products or Support Services.

24. Entire agreement

These Terms, together with any quotation, written order confirmation, invoice and written project-specific terms agreed by us, form the agreement between the parties.

No other terms apply unless expressly agreed by Rock Materials in writing.
